MaxLinear IPO Became Leap of Faith
Company wasn't big, but it was ready, CEO says


"There is no finish line," says Kishore Seendripu, the CEO of chip maker MaxLinear in Carlsbad, in one of the company's labs. "The concept of a finish line is that you wrap up what you started. But growth is antithetical to the concept of finish."

When Carlsbad-based chip maker MaxLinear said in November that it intended to go public, there was skepticism that the stock sale would ever come to pass.

Public markets, bruised by losses during the financial meltdown, weren't considered ready for initial public offerings from upstart technology companies. They hadn't been receptive to similar IPOs for a couple of years.

In addition, MaxLinear didn't meet all of the benchmarks considered necessary for a successful IPO. It was small, with $51.4 million in revenue in 2009, and had been profitable for only one year since it was founded in 2004. It made $4.3 million in 2009.

Yet the company surprised analysts when it went public March 24 and its shares soared 34 percent on their debut. MaxLinear collected about $92 million from the offering, with its shares opening at $14 and peaking at $18.70 on the first day of trading.

The shares since have slipped a bit. They closed Friday at $15.40.

MaxLinear makes tiny chips that receive high-frequency radio signals. They are used in televisions, mobile phones, computers, cable set-top boxes and car video systems.

Before going public, MaxLinear raised about $35 million in venture capital, but it only spent about half of that money. It had $17.9 million in cash at the end of 2009.

Chief Executive Kishore Seendripu sat down recently at his modest office in Carlsbad and recounted the decision to push ahead with the stock offering.

QUESTION: What does MaxLinear do?

ANSWER: Broadband communications chips that receive very-high-frequency radio signals, which carry data or video. The process of receiving these high-frequency broadband signals is exceedingly challenging and difficult. It requires a very special skill set and a kind of chips called radio-frequency-mixed-signal chips.

We are one of the few companies that can do this in a regular, plain, digital CMOS process. So by doing it in plain-vanilla digital CMOS, which is the most prevalent and highest-scale manufacturing available for silicon processes, we are able to deliver (chips) at extremely low cost, and bring that cost structure to very difficult RF-mixed-signal processing that has been traditionally implemented using exotic technologies such as silicon germanium or Bi-CMOS processes.

QUESTION: It wasn't a great IPO landscape before you came out, and you're not a large company. What made you want to become public?

ANSWER: Just because the world is not ready for your kid, that doesn't mean you don't send your kid to school. My point is it's an evolutionary process. To some degree, you want to pick the best time possible to get all the stars aligned. But at some point, it's time to move on.

QUESTION: Do you have second thoughts?

ANSWER: We were determined to go forward. The bankers and everyone wanted to pull the IPO. They said, "Don't do it for another two quarters."

It's our company. It's our IPO. The bankers are the agents for this. And the board felt this had been enough of a distraction. We had to finish this and get back to what we needed do to grow the business. So we moved forward.

QUESTION: How was the reception?

ANSWER: We were not raising money because we needed the money (to survive). We were not trying to pay out these private-equity guys, trying to get out of debt.

We were a simple, clean story. We started. We bootstrapped the company. We had to spend very little money to reach profitability. We are funding our operations. We are profitable while growing in good and bad times. So it's a clean story. And it was refreshing for (investors) to see that such stories remain.

The idealism of the story - how it started, how it's working and how clean it is - and how passionately we are motivated to do great things, it endeared us to the goodness in them and not the cynics in them. They wanted to give us a chance.

Because you know what? In all of us there's a small element where we still want to preserve - despite our jading - something good, something pure that we want to nurture. Even in a dirty pond, a lotus grows.

QUESTION: Are you surprised at how well it went?

ANSWER: I was absolutely surprised, because at the start (of the road show), it was so gloomy.

At the March 10 board meeting, the bankers made their case. They said: "You've got to delay this. It's too good a story to be ruining it at this time." Morgan Stanley, Deutsche Bank, they all said it.

We said, "OK, guys, please depart the room," and we decided we were going forward.

They came back. They said the value was going to be terrible. We decided to do a reverse split just to float the stock at a little bit higher price.

So it was very gloomy. We went to Europe. We had three meetings. First in Frankfurt, then in Milan. The next day, orders start coming. We said, "OK, there's something going on here." So we go to London and finish the meetings. We were at seven or eight meetings. And they immediately put in orders.

So by the time we left on Thursday and we came to New York on Friday, the book started filling up. Suddenly people had heard about us. Every day we were in New York, the order book was filling up like crazy. We'd go to meeting after meeting. We did about eight to 10 meetings a day. And the story had its own legs.

What we did well was represent the American story - the story that there are people who work hard and they do it for a reason and they do it well, so let's take a bet on it.

We're not serial entrepreneurs. We tell the story of being a few employees in Carlsbad toiling away with no funding in the beginning and very little money getting there, and becoming profitable with product diversity and market diversity and a world-class team.

We're 135 people, you know, and 50 Ph.D.s, 65 master's and 10 bachelor's. That's as high-powered as you can put together. And nobody had heard of us three months before the S-1 (public-offering prospectus). We don't show up at panels. We focus. We work extremely hard, and we win. And if we don't win the first time, we come back harder at it.

QUESTION: Investors love a growth story. What's yours?

ANSWER: We are in very large markets, markets are still in the early stages of the proliferation of multimedia content. You know, the Internet happened 10 years ago, and we're still struggling for bandwidth, honestly, because the amount of multimedia available is outstripping everything. So in order to make the next-generation network changes that are happening, you also need devices that can actually take the bandwidth and process it in a power-efficient way at very high performance. We are bringing that to bear.

QUESTION: What is your view of an exit strategy?

ANSWER: There is no finish line. Most entrepreneurs achieve less than what they could for two reasons: One is not being able to look at the company outside of themselves, and the second piece is they do think about a finish line. And the problem is there is no finish line.

The concept of a finish line is that you wrap up what you started. But growth is antithetical to the concept of finish. So what is the finish? It's the notion of a self-sustaining company that continues to take care of itself and has a culture that nurtures it and grows it and then it self-renovates. So I think the question is to figure out what the next act is for the company.

QUESTION: Do you need to diversify?

ANSWER: I think right now our story is a diversified story. So I think we need to be focused on expanding our footprint in the markets we are in, because they are large markets. So we need to build on what we have to expand our footprint in these markets.
